Integrated infrastructure services enterprise Bluspring Enterprises Limited has announced that its wholly owned subsidiary, Bluspring New Horizon Two Private Limited, has entered into a definitive agreement to acquire 100 per cent shareholding of LSG Sky Chefs (India) Private Limited (“LSG India”), marking a strategic entry into the aviation catering sector.
Strategic entry into aviation catering
LSG India is ultimately owned by AURELIUS, a global private equity firm widely recognised for its operational approach. The company operates airline catering facilities at Bengaluru and Hyderabad airports. The proposed transaction encompasses the acquisition of the Bengaluru operations, with the Hyderabad operations to be divested before closing. The transaction is expected to close within 60 to 90 days, subject to customary closing conditions.
Transaction scope and timeline outlined
Founded in 2001, LSG India is a leading provider of in-flight catering and allied aviation services, serving both domestic and international airlines, including IndiGo, Lufthansa, Etihad, and Qatar Airways. Supported by a workforce of over 400 employees, LSG India’s Bengaluru operations generate revenue exceeding Rs 110 crore, with mid-to-high-teens EBITDA margins.
Established player with strong airline clientele
The acquisition grants Bluspring access to in-flight catering facilities at Bengaluru Airport under a long-term concession agreement valid until 2039. According to estimates from Bangalore International Airport Limited (BIAL), passenger traffic at the airport is projected to grow from approximately 45 million currently to over 70 million by 2030, providing Bluspring with a strong platform to capture high-growth aviation catering opportunities across India.
Long-term growth opportunity at Bengaluru Airport
Commenting on the acquisition, Kamal Pal Hoda, Executive Director & CEO of Bluspring Enterprises Limited, said: “This acquisition marks a strategic milestone for Bluspring as we enter the aviation services ecosystem through a high-quality operating asset at Bengaluru Airport. It gives us immediate scale in a niche, high-entry-barrier segment while creating opportunities to expand into adjacent airport-linked services. The business complements our existing food services vertical, significantly expanding margins and ROE, and supports our long-term growth and profitability ambitions.”
