As previously announced, the company has entered into a definitive merger agreement pursuant to which an entity affiliated with a consortium led by Robert A. Ortenzio, Executive Chairman, Co-Founder and Director of the Company; Martin F. Jackson, Senior Executive Vice President of Strategic Finance and Operations of the company; and Welsh, Carson, Anderson & Stowe will acquire all of the outstanding shares of the common stock of the company not already owned by the consortium on the terms and subject to the conditions set forth in the merger agreement. Additional information will be provided in a proxy statement that will be filed with the SEC. Today, the company will not be commenting further on the proposed merger.
